Reflowd Terms and Conditions

Welcome to Reflowd! These Terms and Conditions ("Terms") outline the rules and regulations for the use of Reflowd's website and AI automation services. By accessing or using our website and services, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, please reach out to us and we can see where these can be amended.

1. Definitions

• "We," "Us," "Our": Refers to Reflowd.

• "Client" or "You": Refers to the individual or entity accessing our services.

• "Services": Refers to AI and automation solutions provided by Reflowd, including but not limited to consulting, development, integration, and maintenance.

2. Services

Reflowd provides tailored AI-driven automation solutions to optimize business operations. Our services include, but are not limited to:

• Workflow analysis and optimization.

• Custom AI solution development and integration.

• Deployment, monitoring, and maintenance of AI-driven systems.

• Ongoing support and optimization to ensure peak performance.

Specific deliverables, milestones, and timelines will be outlined in a separate project agreement or proposal.

3. Client Responsibilities

By engaging with our services, you agree to:

• Provide accurate, timely, and complete information necessary for the execution of the project.

• Use our AI solutions in compliance with all applicable laws and regulations.

• Avoid any form of misuse, unauthorized distribution, or reverse engineering of our proprietary solutions.

Failure to comply with these responsibilities may result in service suspension or termination.

4. Payment Terms

• Payment terms will be specified in the individual project agreement.

• Unless stated otherwise, invoices are due within 30 days of receipt.

• Late payments may incur an interest charge of 1.5% per month on the outstanding balance.

• Reflowd reserves the right to suspend services for overdue accounts.

  
  

5. Intellectual Property Rights

• All intellectual property related to AI solutions developed by Reflowd remains the property of Reflowd until full payment is received.

• Upon full payment, the client will be granted a non-exclusive, non-transferable license to use the delivered AI solutions.

• Unauthorized reproduction, distribution, or modification of Reflowd’s proprietary technologies is strictly prohibited.

6. Confidentiality

Both parties agree to protect and keep confidential all sensitive information shared during the project, including but not limited to business data, proprietary algorithms, and operational strategies. Confidential information shall not be disclosed to third parties without prior written consent.

7. Limitation of Liability

Reflowd is not liable for:

• Indirect, incidental, or consequential damages arising from the use of our AI automation solutions.

• Losses resulting from improper implementation or misuse of AI tools by the client or third parties.

• Delays or failures due to circumstances beyond our control, including but not limited to natural disasters, cyberattacks, or third-party service failures.

In all cases, our liability shall not exceed the total amount paid by the client for the specific project or service in question.

8. Termination

• Either party may terminate the agreement with 30 days' written notice.

• Upon termination:

  • The client is responsible for payment of all completed work up to the termination date.

  • Reflowd will deliver all completed work and materials that have been paid for by the client.

  • Any outstanding balances must be settled before the final handover.

9. Modifications to Terms

Reflowd reserves the right to update or modify these Terms at any time. Clients will be notified of any significant changes, and continued use of our services after modifications constitutes acceptance of the revised Terms.

10. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Belgium. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Belgian courts.
